I. Overview and Scope of These Terms (the “SPINISTRY™ Agreement”)

This website is operated by the starks group LLC, which includes SPINISTRY™ and all related subsidiaries (“SPINISTRY™,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) outline your relationship with SPINISTRY™ and govern your use of the SPINISTRY™ website, mobile application, your purchase of classes and rides, your ability to cancel such purchases, class attendance, communication with us, and any merchandise transactions. SPINISTRY™ classes may include both cycling and non-cycling formats. Certain provisions apply specifically to our early-booking feature (“Spinistry™ Early Agreement”). We’re grateful you’re part of the SPINISTRY™ community and excited to continue supporting your ride.

These Terms incorporate our Privacy Policy by reference.

II. ARBITRATION AGREEMENT & CLASS ACTION WAIVER

(Applicable to both the Spinistry™ Early Agreement and overall SPINISTRY™ Agreement)

A. Attempting Informal Resolution First

At SPINISTRY™, every rider matters. If something doesn’t meet your expectations, we want the chance to help. Please contact us at info@spinistrystl.com nclude your name, address, explanation of your concern, and the specific resolution you’re seeking.

B. Arbitration Requirement

By accepting these Terms, both you and SPINISTRY™ agree that any dispute arising after your acceptance of these Terms will be resolved exclusively through binding arbitration under the Federal Arbitration Act. Arbitration will be administered by either JAMS or the American Arbitration Association (AAA). You may choose the forum if you initiate the claim; SPINISTRY™ may choose if it initiates the claim.

YOU AND SPINISTRY™ AGREE TO ARBITRATE ALL DISPUTES (AS DEFINED BELOW) AND WAIVE THE RIGHT TO A JUDGE OR JURY.

C. Class Action Waiver

All arbitration must be conducted on an individual basis—not as part of any class, representative, or consolidated action. You agree not to serve as a class representative or participate in any class proceeding against The starks group LLC, SPINISTRY™ or any of its affiliates. If this clause is deemed unenforceable, the arbitration requirement becomes void and the matter will proceed in court.

D. What Counts as a “Dispute”

“Dispute” refers to any disagreement arising between you and SPINISTRY™ over your relationship with us, including disputes based in contract, statute, tort, or equity, except for:

  • personal injury claims or claims for lost/damaged/stolen property;

  • challenges to the Class Action Waiver’s validity;

  • claims seeking public injunctive relief.

These excluded matters must be handled exclusively by a court.

E. Arbitration Procedures

Either party may initiate arbitration before a single arbitrator. JAMS rules apply when arbitration is filed with JAMS; AAA rules apply when filed with AAA. The arbitrator will apply missouri law. If required under the Federal Arbitration Act, SPINISTRY™ will cover the arbitrator’s fees.

F. Location of Arbitration

You may choose to arbitrate where you live (if JAMS or AAA is available locally) or in missouri. If SPINISTRY™ initiates the arbitration, it must do so in your home state unless no forum is available, in which case arbitration may be filed in missouri.

III. SPINISTRY™ Agreement

A. Use by Minors

Individuals under 18 may use the SPINISTRY™ Website or App only with involvement of a parent or guardian. Online self-registration is not permitted for minors. In-person registration at a studio or event is permitted with a parent or guardian present. Minors age 16 or older who meet height requirements may submit a signed Minor Rider Waiver to book classes.

B. Reservations, Charges, Classes & Gift Cards

To reserve a class, you must first purchase a single class or membership. Reservations are made through your online SPINISTRY™ account. Riders may book multiple bikes per class subject to studio limits. SPINISTRY™ may reserve a set number of bikes/spots per class.

Refunds for Spinistry™ are issued only if SPINISTRY™ cancels the class or upon instructor-change requests.

SPINISTRY™ gift cards never expire and may be used for merchandise or class purchases. Classes purchased with a gift card expire according to the class or class series rules. Classes cannot be gifted, transferred, or redeemed for cash.

Your payment method will be charged at the time of class purchase. SPINISTRY™ may suspend privileges for unpaid balances and may seek collection costs when necessary.

C. Consumer Cancellation Rights

Cancellation rights vary by state. Generally, you may cancel a class or membership within three business days of purchase (excluding Sundays/holidays). Refunds are issued within ten days to the original payment method or may be issued as rider credit.

Spinistry™ Early fees remain non-refundable except in cases of class cancellation or instructor change.

D. Additional Cancellation Rights

You or your authorized representative may cancel your classes if:

  • You become medically unable to participate (with doctor verification).

  • You pass away (refund paid to your legal representative).

  • You move more than 25 miles from the nearest SPINISTRY™ offerings (cancellation fees may apply).

  • SPINISTRY™ ceases offering classes.

E. Reservation Cancellation Policy

To return a reserved class to your account, you must cancel by 5 PM the day prior. Late cancellations result in the class being deducted. Bikes unclaimed 4 minutes before class may be released without refund/credit.

If running late, you must notify spinistry™ at least 15 minutes before class begins. Bikes are not guaranteed. late arrivals once a ride begins is not permitted.  

F. Geographic Restrictions on participation

SPINISTRY™ offers several classes. Carefully review each description for proper dates and locations restrictions.  

G. Class Types Offered

SPINISTRY™ provides a variety of class formats, including signature indoor cycling rides, extended sessions, community rides, fundamentals classes, interval training sessions, and private ride options. Availability varies by event and schedule.

Spinistry™ is not liable for private events or classes hosted by gyms, including but not limited to The Gem factory, and generation 3 fitness. 

H. Waiver & Release

By participating in SPINISTRY™ classes, using facilities in which SPINISTRY™ owns, rents, or leases, or taking advantage of spinistry™ owned tools or equipment, you acknowledge that indoor cycling and fitness activities carry inherent risks, including minor, major, or catastrophic injuries. You agree to comply with all safety instructions and acknowledge that SPINISTRY™ staff may restrict access based on safety concerns.

You agree to assume all risks associated with participation, release SPINISTRY™ and its affiliates from liability to the fullest extent permitted by law, and confirm that you are physically able to participate safely.

I. Third-Party Links

SPINISTRY™ is not responsible for the content of any third-party sites linked to our Website or App. Your decision to visit external sites is at your own risk.

J. Texts and Phone Communications

If you opt in to receive texts or calls from SPINISTRY™, you consent to receiving automated or prerecorded messages for transactional or marketing purposes. You may opt out at any time by following the provided instructions. Standard carrier fees may apply.

K. Intellectual Property

All trademarks, trade dress, designs, graphics, software, and content on the SPINISTRY™ Website and App are owned by or licensed to SPINISTRY™. You may use them only for personal, non-commercial purposes connected to your class reservations or purchases. Any other use is prohibited.

l. Prohibition on Data Mining

You may not use bots, scrapers, spiders, or automated or manual data-harvesting tools on the SPINISTRY™ Website or App. You may not mass-download material, interfere with site operations, or establish unauthorized links.

m. No Commercial Use

Website/App content may not be reproduced, distributed, sold, modified, or publicly displayed for commercial purposes. Any unauthorized use terminates your license to use SPINISTRY™ content.

n. Warranty Disclaimer & Liability Limitations

SPINISTRY™ provides all services, products, and experiences “as is” without warranties. We are not liable for direct or indirect damages arising from use of our Website, App, services, or studios, including lost profits or data.

o. Governing Law

These Terms follow MIssouri state law, except that the Federal Arbitration Act governs interpretation of the Arbitration Agreement. Non-arbitrated disputes must be brought in missouri.

p. Acceptance of Terms

By using the SPINISTRY™ Website or App, purchasing or reserving classes, or attending SPINISTRY™ events, you agree to these Terms. SPINISTRY™ may update these Terms periodically, and continued use constitutes acceptance.
